There is no record of other shareholders apart from those listed above owning a share in the capital exceeding 5% that have notified Consob and Health Italia S.p.A. pursuant to art. 117 of Consob Regulation no. 11971/99 concerning the notification obligations for the relevant holdings.
Significant Shareholders
Anyone holding at least 5% of a category of Health Italia S.p.A. financial instruments is a “Significant Shareholder”.
Under AIM Italia Regulation, Significant Shareholders must inform Health Italia SpA's board of directors of any “Substantial Change”, meaning the exceedance of the 5% threshold and the reaching or exceedance of the 10%, 15%, 20%, 25%, 30%, 35%, 40%, 50%, 66.6%, 75%, 90% and 95% thresholds or decreasing under the same.

To this end, a Significant Shareholder must report to Health Italia S.p.A., within 5 trading days from the date on which the Transaction resulted in a Substantial Change:

  • the identity of the relevant Significant Shareholders;
  • the date on which Health Italia S.p.A. was informed;
  • the date on which the Substantial Change in shares occurred;
  • the price, amount and category of the financial instruments involved;
  • the nature of the operation;
  • the nature and entity of the share of the Significant Shareholder in the operation.

This information must be conveyed using the attached form, sending an email first to investor.relator@healthitalia.it and subsequently sending the original with a registered return receipt to the administrative body at the company's registered office or via the company's certified electronic email address (healthitalia@legalmail.it).
